MKDWELL Tech Inc., an automotive electronics manufacturer based in Hsinchu, Taiwan, has announced its acquisition of Landvision Inc., a British Virgin Islands-based company specializing in smart-home and Internet-of-Things (IoT) products. The acquisition, which is valued at $240 million, will be executed through the issuance of 30 million new shares priced at $8.00 each. Upon completion, these shares will constitute approximately 87.72% of MKDWELL's total issued ordinary shares. The deal is expected to close around August 2026, pending customary closing conditions.
Landvision Technology Limited, the operating arm of Landvision Inc., is recognized for its AI-enabled smart-home products, including security devices like smart locks and door hardware, as well as cooling appliances and OEM/ODM solutions for major retailers. The company’s products are designed to be compatible with various ecosystems, some of which are Matter-certified for cross-brand interoperability.
MKDWELL believes this acquisition will not only broaden its technology platform but also reduce its exposure to the cyclicality of the automotive electronics market. The smart-home sector is experiencing rapid growth, driven by increased household adoption and the standardization of IoT products through the Matter protocol.
As part of the agreement, certain shareholders of Landvision have agreed to a staggered lock-up on their newly issued shares, which will be released in increments over the next two years. Additionally, MKDWELL plans to file a registration statement to help the resale of these shares.
